We do not guarantee any specific results including but not limited to revenue growth, profitability, advertising performance, lead quality, lead volume, appointment bookings, return on investment, business success, platform approval, or sales outcomes.

You acknowledge that all business ventures involve risk and that results vary based on factors outside our control including market conditions, competition, offer quality, operational execution, sales ability, advertising budgets, economic conditions, platform algorithms, and client participation.

3. No Earnings Claims

Any testimonials, case studies, client examples, screenshots, marketing examples, revenue numbers, or success stories displayed by WeRoot Marketing are provided for illustrative purposes only and do not guarantee future results.

We make no guarantees regarding income, revenue, profitability, advertising performance, client acquisition, business growth, or financial success.

You understand that individual results vary significantly and depend on numerous factors beyond our control.

4. Client Responsibilities

You are solely responsible for your business operations, financial decisions, tax obligations, legal compliance, employee or contractor management, advertising approvals, sales process, customer fulfillment, customer service, hiring decisions, operational execution, and compliance with all applicable laws and regulations.

You acknowledge that WeRoot Marketing is not responsible for your business decisions, advertising claims, compliance obligations, customer disputes, or operational failures.

Failure to implement recommendations or strategies provided by WeRoot Marketing does not create liability on our part.

5. Payments and Billing

By purchasing services from WeRoot Marketing, you authorize us to charge your selected payment method for all applicable fees including recurring subscriptions, advertising management fees, consulting fees, setup fees, coaching fees, software fees, and related charges.

All payments are final unless otherwise stated in writing.

Late or failed payments may result in suspension or termination of services, removal of access to systems or products, additional fees, collections actions, legal action, or reporting to credit agencies where permitted by law.

You agree not to initiate chargebacks, disputes, or payment reversals for services rendered, consultations completed, digital products delivered, or work performed.

In the event of a chargeback or fraudulent dispute, WeRoot Marketing reserves the right to immediately terminate services and pursue recovery of all unpaid balances, legal fees, collection costs, arbitration fees, and related expenses.

6. Refund Policy

Unless otherwise stated in writing, all sales are final and non-refundable.

Due to the digital, strategic, and consulting nature of our services, refunds will not be issued for consulting services, coaching programs, digital products, CRM builds, advertising services, automation systems, recruiting systems, funnel development, AI systems, or educational materials.

Any exceptions are solely at the discretion of WeRoot Marketing.

7. SMS, MMS, Email, and Communication Consent

By submitting your information through our website, advertisements, landing pages, forms, funnels, scheduling systems, chat widgets, surveys, applications, social media platforms, or any other communication channel operated by WeRoot Marketing, you expressly consent to receive communications from WeRoot Marketing, its representatives, contractors, affiliates, and authorized partners. WeRoot Marketing is not affiliated with Meta, Facebook, Instagram, Google, TikTok, LinkedIn, YouTube, X, or any advertising platform unless explicitly stated.

Advertising platforms may reject ads, disable accounts, suspend business managers, restrict reach, limit functionality, modify algorithms, change policies, increase costs, or terminate advertising access at any time.

WeRoot Marketing is not responsible for advertising platform bans, policy violations, rejected ads, disabled accounts, reduced reach, increased advertising costs, or platform-related issues.

Clients remain fully responsible for compliance with all advertising platform policies and applicable laws.

9. AI and Automation Disclaimer

WeRoot Marketing may utilize AI systems, machine learning technologies, automations, and third-party software integrations as part of our services.

You acknowledge that AI systems may generate inaccurate, incomplete, or unexpected outputs and that automated systems may operate without manual review.

You assume full responsibility for reviewing, validating, approving, and monitoring all AI-generated content, recommendations, marketing materials, advertising copy, and business communications before use.

WeRoot Marketing shall not be liable for decisions made based on AI-generated information or automation systems.

10. Intellectual Property

All content, frameworks, systems, prompts, branding, graphics, copy, templates, videos, software, educational materials, strategies, processes, and related intellectual property provided by WeRoot Marketing remain our exclusive property unless otherwise agreed in writing.

12. Media Release

You grant WeRoot Marketing permission to use your company name, logo, testimonials, screenshots, case studies, advertising results, videos, social media posts, and publicly available content for marketing, advertising, educational, and promotional purposes unless otherwise agreed in writing.

13. Prohibited Uses

You agree not to use our services or website for illegal activity, fraud, deceptive practices, intellectual property infringement, harassment, malware distribution, unauthorized access attempts, spam, or activities that may damage WeRoot Marketing or third parties.

We reserve the right to suspend or terminate access immediately for violations.

14. Third Party Services

WeRoot Marketing may integrate with or recommend third-party platforms including but not limited to GoHighLevel, Stripe, Meta, Google, OpenAI, Zapier, Twilio, Mailgun, Slack, Calendly, ClickFunnels, and related services.

We are not responsible for outages, data breaches, security failures, policy changes, platform restrictions, technical issues, or damages caused by third-party services.

Your use of third-party platforms is governed by their own terms and policies.

15. Limitation of Liability

To the fullest extent permitted by law, WeRoot Marketing and its owners, employees, contractors, affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of our website, services, systems, advertisements, automations, software, or consulting.

This includes but is not limited to lost revenue, lost profits, business interruption, advertising losses, data loss, platform bans, customer disputes, operational failures, or reputational damage.

Our total maximum liability under any circumstance shall not exceed the amount paid to WeRoot Marketing within the thirty (30) days preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless WeRoot Marketing and its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, lawsuits, regulatory actions, penalties, fines, legal fees, arbitration costs, or expenses arising from your business operations, advertising, products, services, customer relationships, legal violations, misuse of our systems, or breach of these Terms.

17. Independent Contractor Relationship

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise relationship, or agency relationship between you and WeRoot Marketing.

WeRoot Marketing operates solely as an independent contractor.

18. Force Majeure

WeRoot Marketing shall not be liable for delays, interruptions, or failures resulting from causes beyond our reasonable control including natural disasters, cyber attacks, internet outages, labor shortages, platform failures, governmental actions, power outages, pandemics, wars, or acts of God.

19. Arbitration Agreement

Any dispute arising from or related to these Terms, our services, communications, or business relationship shall be resolved exclusively through binding arbitration in the State of Arizona.

You waive the right to participate in class actions, collective actions, or jury trials.

Each party shall bear its own legal fees unless otherwise awarded by the arbitrator.

20. Governing Law

These Terms shall be governed and construed under the laws of the State of Arizona without regard to conflict of law principles.
